Referral Network | Agreement 

Purpose

Upon clicking the “Accept Agreement” button below you’ll be accepted into our referral network. We thought about putting a big long contract here with a bunch of legalese but really, it’s simple.

From today, you’ll be a member of our referral network and we’ll share your agency information with the other agencies in our network in an attempt to help everyone establish great agency partnerships and get more referral business from your peers.

Compensation

If we refer any clients to you or you refer any clients to us we ask that we agree to a 10% referral fee on any one-time and/or recurring monthly contracts. At TopOpti we specialize in full custom WordPress builds and SEO. Our typical clients range from mid-sized small businesses up to medium-sized businesses. As such or typical fees are as follows:

 

Full Custom E-Commerce build – $30,000 to $60,000

Full Custom Standard Website Build – $15,000 to $30,000

SEO for E-Commerce – $3,500 – $5,000 per month

SEO for a Standard Website – $2,500 – $3,500 per month

Website Maintenance Agreements  – $500 per month

Hourly Rate for Smaller Projects –  $150

 

It took a lot of time to put this network together and for us to maintain it. That being said, when we connect you with other agencies in the network we don’t require you to give us any type of fee for making this introduction. It’s our hope that by providing the best value for other agencies out there you’ll think of us whenever your clients are in need of custom website development or SEO!

Any agreements for referral fees with agencies we connect you with are entirely at your own discretion and we make no warranties, nor do we have any ability to enforce these agreements.

Referral fees are paid out the first week of the month following the collection of funds from the client.

How we work

We know working with a new agency is always unknown. Do they do good work? Are they reliable and timely? Will they take good care of your client? Will they be a supportive partner and contribute to your growth?

To help alleviate these concerns we always make sure to communicate everything we’re going to present to the client to you first. This helps you to get a clear understanding of exactly what we do and how we work and also the level and type of work we are going to provide. We feel this is important as it allows us to make recommendations to the client without fear of accidentally contradicting previous recommendations that may have been made and gives you a chance to thoroughly vet or work and process before committing to making an introduction to the client.

We ask that any partners entering into this agreement with us or connecting with any other agencies in the network provide the same level of courtesy.

Keep us in the loop

We want this referral network to be open to as wide and diverse a range of agencies as possible. Having agencies that offer similar services in the network is important to us as we feel industry specialization is almost as important as the services you offer. For instance, we partner with a wide range of graphic design agencies and refer work not necessarily based on how good they are at graphic design overall but how good they are at graphic design for a certain industry. This allows us to really find the best fit in agencies for any job.

That being said, opening up the network to such a diverse range of agencies occasionally results in a few bad apples. If you’ve had a bad experience with another agency in the network, please let us know so we can evaluate where the problems in the partnership arose and consider whether the agency is still a suitable fit for our network.

On the flip side, if you have an amazing experience with someone please let us know! We love to highlight great partnerships and how they’ve contributed to the success and growth of both parties involved!

A little bit of legal stuff

Okay, okay, I know we said no legalese but it’s also a good idea to make sure that everyone involved is protected and that clear expectations of the business relationship are set forth from the start. As such, we present you with the boring legal jargon.

Confidentiality.

During the course of this agreement, it may be necessary for either of us to share proprietary information, including trade secrets, industry knowledge, and other confidential information. Neither of us will share any of this proprietary information at any time, nor will we use this information for personal benefit. This section remains in full force and effect even after termination of the agreement by its natural termination or the early termination by either party.

Termination. 

This agreement may be terminated at any time by either party upon 30 days written notice to the other party. Upon termination, we shall remove you from the Referral Network. Any referral fees that are being paid from us to you, or you to us will remain in full force and effect until the natural end of the relationship with the 3rd party client. 

Representations and Warranties. 

Both parties represent that they are fully authorized to enter into this agreement. The performance and obligations of either party will not violate or infringe upon the rights of any third party or violate any other agreement between the parties, individually, and any other person, organization, or business or any law or governmental regulation.

Indemnity. 

The Parties each agree to indemnify and hold harmless the other party, its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from the negligence of or breach of this agreement by the indemnifying party, or its respective successors and assigns that occurs in connection with this agreement. This section remains in full force and effect even after termination of the agreement by its natural termination or the early termination by either party.

Limitation of Liability. 

Under no circumstances shall either party be liable to the other party or any third party for any damages resulting from any part of this agreement such as, but not limited to, loss of revenue or anticipated profit or lost business, costs of delay or failure of delivery, which are not related to or the direct result of a party’s negligence or breach.

Disclaimer of Warranties. 

Neither party entering into this agreement represents or warrants that referrals will create any additional profits, sales, exposure, brand recognition, or the like. There is no responsibility on either party if referrals do not lead to desired result(s). 

Severability. 

In the event that any provision of this agreement is deemed invalid or unenforceable, in whole or in part, that part shall be severed from the remainder of the agreement and all other provisions should continue in full force and effect as valid and enforceable. 

Waiver. 

The failure by either Party to exercise any right, power, or privilege under the terms of this agreement will not be construed as a waiver of any subsequent or future exercise of that right, power, or privilege or the exercise of any other right, power, or privilege. 

Legal and Binding Agreement.

This agreement is legal and binding between the parties as stated above. The parties each represent that they have the authority to enter into this agreement.

Governing Law and Jurisdiction. 

The parties agree that this agreement shall be governed by the jurisdiction in which both Parties do business. In the event that the parties do business in different jurisdictions, this agreement shall be governed by California law.

Entire Agreement. 

The parties acknowledge and agree that this agreement represents the entire agreement between the Parties. In the event that the parties desire to change, add, or otherwise modify any terms, they shall do so in writing to be signed by both Parties.
